Mr. Smith’s career spans twenty years of direct legal, management and budgetary experience in diverse organizations and corporate cultures, including law, business, non-profit and government. To serve clients, he draws upon skills that include document drafting and review, legal research, IP licensing, contract negotiation and strategic alliances, operations and budget analysis.

Representative Experience

• Counsel for Fayetteville Metropolitan Housing Authority in connection with tax exempt bond financings for numerous HOPE VI projects, including  Fayetteville’s Old Wilmington Road Neighborhood Revitalization, Curtis Lane, Bunce East, and Campbell Avenue Senior Apartments
• Co-bond counsel for numerous tax-exempt and taxable bond issuances, including a $500 million bond issuance for State of North Carolina Capital Improvement Limited Obligation Bonds, Series 2011A; the $14.8 million County of Cumberland Taxable Limited Obligation Bonds for Qualified School Construction Bond (QSCB) project, Series 2011A; and more than $105 million in City of Columbia, South Carolina Waterworks and Sewer System Revenue Bonds, Series 2010
• Co-bond counsel in connection with $16 million in Tax Credit Certificates of Participation,  Cumberland County Qualified School Construction Bond (QSCB) projects
• Served as bond counsel, underwriter's and letter of credit counsel in various corporate, hospital/health and housing tax-exempt bond issues
• Represented corporate trustee in New Zealand-based project financing including drafting and negotiation of amendments to project documents
• Adviser to co-CEOs and senior management on all legal, business and operating issues of joint venture, including budgets, strategic planning, artist and producer relations, royalty accounting, contract renegotiations, litigation management, and copyright and trademark matters
• Performed research and preparation of legal memoranda in regard to insurance, commercial, corporate, securities, public finance and banking matters
• Oversaw the negotiation and drafting of all legal agreements with a parent company and its subsidiaries, including joint venture agreement, music production and recording, music publishing, film and video production, e-commerce, producer management and merchandise, apparel and real estate leasing
• Negotiated and drafted a highly profitable licensing agreement with an internet order and fulfillment company
• Managed legal department of record company joint venture with Interscope/Universal Music Group resulting sales of more than 16 million albums in 2.5 years. Supervised/directed UK-based copyright administrator on copyright registration issues affecting 1,500 titles
